License Agreement

**PLEASE CAREFULLY READ THIS IDAREAI PLATFORM AGREEMENT (“AGREEMENT”) BEFORE ACCESSING, DOWNLOADING, OR OTHERWISE USING THE IDAREAI SERVICE (“SERVICE”) AND RELATED DOCUMENTATION DELIVERED TO YOU (“YOU” OR “CUSTOMER”) BY IDARE LLC, A TEXAS LIMITED LIABILITY COMPANY WITH A BUSINESS ADDRESS AT 11251 NORTHWEST FRWY, STE 310, HOUSTON, TX-77092 (“IDARE”).

BY CLICKING THE “ACCEPT” BUTTON, AND/OR DOWNLOADING OR USING THE SERVICE, YOU AGREE TO THE TERMS OF THIS AGREEMENT AND BECOME A PARTY TO IT. IF YOU DO NOT AGREE TO ALL TERMS, CLICK “DO NOT ACCEPT” AND DO NOT ACCESS OR USE THE SERVICE.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT. IF YOU ARE USING THE SERVICE FOR YOUR OWN PURPOSES, YOU REPRESENT THAT YOU ARE OF LEGAL AGE AND HAVE THE CAPACITY TO ENTER INTO THIS AGREEMENT.

1. License Grant

  • Access and use the iDareAI platform for perform machine learning (ML) operations on datasets you upload.
  • Utilize any accompanying user documentation solely for the operation of the Service.
  • Run ML operations through browser-based Python execution, configured via backend instructions provided by the Service.
  • The rights granted herein are conditioned on your compliance with this Agreement.

2. Data Usage and Privacy

  • User Data Upload: Datasets in CSV or Excel formats are processed using Python libraries and ChatGPT configurations.
  • Research Use: For free-tier users, uploaded data may be utilized by IDARE for research and to improve the Service (anonymized where possible).
  • Data Storage: User data is stored in secure AWS S3 instances. IDARE takes reasonable measures to ensure data security but is not liable for breaches or losses caused by AWS infrastructure.
  • Confidentiality of Data: User data will not be disclosed to unauthorized third parties unless required by law or as part of Service improvement in aggregated or anonymized form.
  • Client Listing:By using the Service, you acknowledge and agree that your company name may be listed publicly as a client of IDARE, unless otherwise prohibited by law or agreed upon in writing.

3. Disclaimers and Limitations of Liability

  • Accuracy of Outputs: The Service uses Python libraries and ChatGPT configurations for ML operations. IDARE does not guarantee the accuracy, reliability, or suitability of the results or insights generated.
  • Service Interruptions: The Service may experience bugs, errors, or interruptions due to browser constraints, data size limits, or other issues. IDARE disclaims liability for any such disruptions.
  • AWS Reliance: IDARE is not responsible for AWS outages or data security issues arising from AWS services.
  • Limitation of Liability: To the maximum extent permitted by law, IDARE’s liability for any claims arising from the Service is limited to the fees paid by you in the 12 months preceding the claim or $200, whichever is greater. IDARE is not liable for indirect, special, incidental, or consequential damages.

4. Restrictions

  • Access the Services if you or your products or services are competitive with IDARE or its offerings, unless explicitly permitted in writing by IDARE.
  • Use the Services for monitoring availability, performance, functionality, or any benchmarking or competitive analysis purposes.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying components of the Service.
  • Reproduce, distribute, sublicense, lease, rent, or sell the Service or Documentation.
  • Circumvent any restrictions, protections, or security measures implemented in the Service.
  • Use the Service in violation of applicable laws or to process illegal, sensitive, or personally identifiable information unless explicitly permitted by applicable laws.

5. Intellectual Property

  • Ownership: All rights, title, and interest in and to the Service, including underlying technology, trade secrets, and methodologies, remain the exclusive property of IDARE.
  • Suggestions and Feedback: Any feedback or suggestions provided by you regarding the Service may be used by IDARE to improve its offerings without obligation or compensation.

6. Modifications and Termination

  • Agreement Modifications: IDARE reserves the right to modify this Agreement at any time. Notice of changes will be provided via the Service or other reasonable means. Continued use of the Service constitutes acceptance of the revised Agreement.
  • Termination: IDARE may terminate your access to the Service at any time for breach of this Agreement or at its sole discretion. Upon termination, your license to use the Service will cease.

7. Support and Documentation

  • Provided Materials: User manuals, example problems, and public datasets are provided for guidance. These materials may contain errors, and IDARE disclaims responsibility for inaccuracies.
  • Bugs and Issues: While IDARE strives to address Service issues promptly, no guarantees are made regarding bug fixes or support timelines.

8. Confidentiality

  • Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed under this Agreement.
  • Confidential information does not include information that: a. Is publicly available through no fault of the receiving party. b. Was known to the receiving party prior to disclosure. c. Is independently developed without use of the disclosing party’s confidential information.

9. No Warranty

  • The Service is provided “AS IS” without warranties of any kind. IDARE disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. General Terms

  • Entire Agreement: This Agreement constitutes the entire understanding between you and IDARE regarding the Service.
  • Governing Law: This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law principles.
  • Force Majeure: IDARE is not liable for delays or failures due to causes beyond its control, including natural disasters, technical failures, or acts of government.
  • Assignment: You may not assign or transfer this Agreement without prior written consent from IDARE.

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to this Agreement.

1. Information We Collect We may collect the following types of information from you:

  • 1.1 Personal Information • Account Information: Name, email address, phone number, company name, and other details you provide during registration. • Payment Information: If applicable, billing details and payment methods.
  • 1.2 Data Uploaded by Users • Uploaded Data: CSV or Excel files uploaded for machine learning (ML) analysis. These files may include non-sensitive business or operational data.
  • 1.3 Usage Data • Technical Data: IP address, browser type, operating system, and device information. • Activity Data: Logs of your interactions with the platform, including features used and timestamps.
  • 1.4 Automatically Collected Data • Cookies and similar tracking technologies to enhance user experience and collect statistical usage data.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • Service Delivery: To provide, maintain, and improve the Services, including analyzing datasets and generating ML insights.
  • Account Management: To process registrations, manage subscriptions, and provide customer support.
  • Research and Development: To improve our algorithms, platform functionality, and user experience. User data and usage patterns may be utilized for internal research and technology development.
  • Communication: To send administrative communications, updates, and promotional materials where permitted.
  • Compliance: To comply with legal obligations and enforce our Terms and Conditions.

3. How We Share Your Information

We do not sell or rent your information to third parties. However, we may share your information in the following circumstances:

  • Service Providers: With trusted third-party vendors (e.g., AWS) to support platform functionality and data storage.
  • Legal Obligations: To comply with applicable laws, regulations, or legal requests.
  • Business Transfers: In the event of a merger, acquisition, or sale of assets, your data may be transferred to the successor entity.
  • Aggregated Data: We may share anonymized and aggregated data for research, statistical, or business purposes.

4. Data Security

We implement reasonable administrative, technical, and physical safeguards to protect your information. However, no system is entirely secure, and we cannot guarantee absolute data security.

5. Data Retention

We retain your personal and uploaded data for as long as necessary to fulfill the purposes outlined in this policy or as required by law. You may request deletion of your data by contacting us at idareaisupport@idare.io.

6. Your Rights Depending on your location, you may have the following rights:

  • Access and Correction: Request access to or correction of your personal information.
  • Data Portability: Request a copy of your data in a portable format.
  • Data Deletion: Request the deletion of your personal information, subject to legal and contractual obligations.

7. Cookies and Tracking Technologies We use cookies to:

  • 8. Children’s Privacy

    Our Services are not intended for individuals under 18 years of age. We do not knowingly collect personal information from minors. If we discover that we have inadvertently collected information from a minor, we will delete it promptly.

    9. International Data Transfers

  • As a US-based company, your data may be transferred to and processed in the United States. If you are located in the European Economic Area (EEA), we ensure that your data is protected in accordance with EU GDPR requirements.
  • When transferring your data outside the EEA, we rely on Standard Contractual Clauses (SCCs) approved by the European Commission to ensure adequate protection. These SCCs act as a legally binding agreement ensuring that your personal data is treated with the same level of security as required by EU law.
